AlliedPOS License Agreement
Between AlliedTech Solutions ("AlliedTech") and the business named at checkout ("Licensee"). Accepting this agreement at checkout, and AlliedTech's countersignature during onboarding, make it binding.
1. Grant
AlliedTech grants Licensee a non-exclusive, non-transferable license to use AlliedPOS at one store location on the number of checkout lanes purchased, for Licensee's own retail business. The software remains the property of AlliedTech.
2. What Licensee may not do
- Reverse engineer, decompile, copy, or create derivative works from the software or its database design.
- Resell, sublicense, rent, or host the software for anyone else, or use one license across several stores.
- Modify the BIR controls (invoice numbering, accumulated totals, readings, audit trail) or use the software to issue documents that misstate sales or tax.
- Share staff credentials outside the Licensee's business.
3. Onboarding and access
After payment AlliedTech schedules a guided onboarding (online or on site) within one business day, countersigns this agreement, and then issues staff logins and, where applicable, hosted access. Licensee provides its Certificate of Registration details for BIR settings and is responsible for their accuracy.
4. BIR registration
AlliedPOS implements the technical controls required of POS/CAS systems. Accreditation of the supplier and the per-machine Permit to Use / Acknowledgement Certificate are issued by the Bureau of Internal Revenue to the respective parties through their RDOs. Where registration assistance is purchased, AlliedTech prepares the documents and sample printouts and files with Licensee; the BIR's decision and timing are outside AlliedTech's control. Licensee remains responsible for its tax filings, eSales reports and daily readings.
5. Updates and support
The first twelve months include software updates and support by email, chat and phone during business hours. Continued updates and support after the first year are available under an annual support plan. Data belongs to Licensee and can be exported at any time.
6. Fees and refunds
License fees are one-time and VAT-inclusive; a Sales Invoice is issued to Licensee. A license may be refunded in full within fourteen (14) days of payment if onboarding has not yet begun. After onboarding begins, fees are non-refundable.
7. Warranty and liability
AlliedTech warrants that the software performs materially as described on alliedpos.online. Beyond fixing reported defects, AlliedTech's liability under this agreement is limited to the license fee paid. Licensee is responsible for backups of on-premise installations and for its hardware.
8. Term and termination
The license is perpetual for the licensed store. AlliedTech may terminate it for a breach of section 2 that is not remedied within fifteen (15) days of notice.
9. Law
Philippine law applies; disputes are brought before the courts of Parañaque City.
